The website is hosted and delivered by Vercel Inc., 340 S Lemon Ave #4133, Walnut, CA 91789, United States, vercel.com/contact. Telephone: not published by the host, which takes its enquiries through that contact form.

The processing involved in this hosting is governed by Vercel's data processing agreement, which incorporates the European Commission's standard contractual clauses. Details are given in the Transfers outside the European Union chapter.

The platform and the Office add-ins

The data you entrust to our solutions is not hosted by the website's host. It is hosted and stored in France, by OVHcloud, Google Cloud Platform and Microsoft Azure, on French regions, and the processing that operates on it (text recognition, transcription, artificial intelligence models) is carried out in European regions, with the sole exception of the xAI (Grok) provider, set out in the Transfers outside the European Union chapter.

All content on this site (text, visuals, logos, the “Vernelys” trademark, demonstration mock-ups, documentation) is protected by intellectual property law and remains the exclusive property of VERNALYS SOLUTIONS or its partners. Any reproduction, representation or reuse, in whole or in part, without prior written authorisation is prohibited.

Data controller

For this website and our commercial relationship

VERNALYS SOLUTIONS is the controller of the data collected by this website (demonstration and audit questionnaires, job applications, technical logs) as well as of the data required to manage our customer accounts. Processing is carried out in accordance with Regulation (EU) 2016/679 (GDPR) and the French “Informatique et Libertés” Act.

VERNALYS SOLUTIONS is not required to appoint a data protection officer within the meaning of Article 37 of the GDPR. For any question relating to data protection, write to contact@vernelys.com.

For the content processed in our solutions

The documents, emails, spreadsheets and recordings that your teams place in the platform or submit to the Office add-ins do not belong to us and are processed solely on your instructions. Your company acts as the controller, and VERNALYS SOLUTIONS as the processor within the meaning of Article 28 of the GDPR.

The terms of that role (instructions, security, assistance, sub-processing, the fate of the data at the end of the contract) are set out in the data processing agreement appended to the contract, available on request from contact@vernelys.com.

Data we collect

On this website

This is a showcase website: it has no user accounts and no database. It receives only what you choose to write in it, and does not keep it: each request passes through the server and leaves again in an email. The only measurement added to this is a page count, subject to your agreement and described in the Cookies and trackers chapter.

  • Demonstration questionnaire : the Contact page collects the tools you use, the size of your team, the type of organisation, your role, then your first name, last name and email address. The request reaches us by email at sales@vernelys.com.
  • Free audit questionnaire : the Audit page collects whether or not you are already a customer, your free-text description of what you need, then your first name, last name and email address. Same delivery, same absence of storage.
  • Agreement checkbox : these questionnaires (demonstration, audit and job application) can only be sent after ticking a box, which is never pre-ticked. The exact wording shown to you, in the language in which it was shown, and the date on which you ticked it are attached to the email. That box records the fact that you were informed before sending; it is not the lawful basis for the processing, which rests on the pre-contractual steps you ask us to take (see Purposes and lawful bases).
  • Job applications : the Careers page collects what you choose to write to us, your first name, last name and email address, your phone number if you give it to us, and the CV you attach (optional, in PDF or Word format, up to 3 MB). The application is delivered by email to recrutement@vernelys.com, never to our sales inbox, and the file is stored nowhere on this site: it passes through the server and leaves again as an attachment to the email.
  • Download access : the add-in download area is protected by a password that Vernelys gives to your organisation. It is checked on our server; no account is created and no personal data is requested.
  • Audience measurement : if you accept it, the pages you view are counted, along with the site or search engine you came from, your country, your operating system and your device type. Added to this is an event when a questionnaire is completed, which carries nothing but the name of that questionnaire, never your answers or your contact details. No cookie is set for this: the details are given in the Cookies and trackers chapter.
  • Consent cookie : your answer to the question asked by the banner is recorded in a cookie set by our own domain, which contains nothing but the value “yes” or “no”. It identifies no one and serves only to avoid asking you the question again on every page.
  • Hosting logs : our host automatically logs technical requests (IP address, date and time, page requested, browser type) for security, abuse prevention and proper operation.
  • Send rate limiting : to break automated sending loops, your IP address is held for a few minutes in the memory of the server that receives the questionnaires. It is neither written to disk nor linked to your request.
  • Demonstration mock-ups : the product screens you see on this site are not screenshots: they are the real mock-up, served from our domain and played in your browser. Like any interface, it keeps the state of what you do in it in your browser's local storage (the screen you opened, a panel you closed, a colour you picked). Those values never leave your device, contain no identifier and are never sent to us; clearing the site data erases them.
  • Fonts and assets : the Geist typeface is self-hosted on our domain: no request is made to Google Fonts or to any other third-party service. Images, videos and demonstration mock-ups are served from our own domain.

In the platform and the Office add-ins

If you are a user of our solutions, the following categories of data are processed:

  • Account data : the identity provided by your Microsoft or Google sign-in (or by the company code given to you), your first and last name, your work email address, and the roles and resources assigned to you.
  • Contact data : what you send us of your own accord when you request support, a licence or a new feature.
  • Usage data : the features used and the error logs, to ensure the service works properly and to improve it.
  • Technical data : connection data generated automatically (IP address, browser type, timestamp) for security and usage statistics.
  • Processed content : the documents, PDFs, spreadsheets, emails and meeting recordings you submit to Vernelys, together with what is produced from them: recognised text, transcript, minutes, a model's answer. This content may contain personal data relating to third parties, for which your company remains the controller.

This content is never used to train or improve an artificial intelligence model, neither by us nor by the model providers we call upon: our contracts forbid them from doing so.

Purposes and lawful bases

Your data is processed for the following purposes:

  • Demonstration request : handling your request, getting back to you and preparing a possible contractual relationship. Lawful basis: pre-contractual steps taken at your request (Art. 6(1)(b)).
  • Free audit request : analysing your practices and your tools, then reporting our findings back to you. Same lawful basis as above.
  • Job application : considering your application and conducting the recruitment process. Lawful basis: pre-contractual steps taken at your request (Art. 6(1)(b)).
  • Providing the service : activating and managing the licence, authentication, running the features of the platform and the add-ins. Lawful basis: performance of the contract (Art. 6(1)(b)) and, for the content of your files, your company's instructions (Art. 28).
  • Support and customer relationship : answering your requests and providing technical support. Lawful basis: performance of the contract (Art. 6(1)(b)) and our legitimate interest in providing quality support (Art. 6(1)(f)).
  • Website audience measurement : knowing which pages are read, where visitors come from and which journeys lead to a request, in order to improve the site. Lawful basis: your consent (Art. 6(1)(a)), obtained through the banner and revocable at any time. Without consent no measurement takes place: the counter is not loaded.
  • Security and proper operation : hosting logs, send rate limiting, abuse prevention, incident detection, service improvement. Lawful basis: our legitimate interest in ensuring the security and availability of the service (Art. 6(1)(f)).
  • Legal obligations : complying with our accounting, tax and legal obligations, and responding to lawful requests from authorities. Lawful basis: legal obligation (Art. 6(1)(c)).

The checkbox on the questionnaires is not an additional lawful basis: all three requests rest on the pre-contractual steps you ask us to take. The box and its timestamp record the fact that you were informed before sending. The only processing on this site that rests on your consent is audience measurement, and it is the only one you can withdraw with a single click.

The fields marked as required in the questionnaires genuinely are: without them we would not know who to reply to. The others are optional. We do not use these addresses for unsolicited marketing: there is no marketing sign-up box anywhere on this site.

Recipients and processors

Your data is never sold, rented or passed on to third parties for advertising purposes. It is accessible only to authorised staff of VERNALYS SOLUTIONS and to the processors listed below, which act solely on our documented instructions and are bound by an agreement compliant with Article 28 of the GDPR:

  • Vercel Inc. (United States) : hosting of the website and delivery of the installation files. Processes technical connection logs and, if you have accepted it, the website audience measurement. It is the sole recipient of browsing statistics: they are passed on to no advertising network and to no other analytics tool.
  • Brevo (Sendinblue SAS, France) : delivery to our inboxes of the requests sent from the demonstration, audit and job application questionnaires, attached CV included.
  • OVHcloud, Google Cloud Platform and Microsoft Azure (France) : hosting and storage of the data of the platform and the Office add-ins. All three providers are configured on regions located in France.
  • Mistral AI (France) : text recognition of documents (OCR), transcription of meeting recordings, and processing of your requests when you choose this model in the chat.
  • Google (Gemini), OpenAI (ChatGPT) and Anthropic (Claude) : processing of the requests you send to the provider selected in the chat, together with the documents you attach to them. They are called on endpoints confined to European regions.
  • xAI (Grok, United States) : the same processing, when you choose this provider. As it offers no European region, your request is then processed in the United States: see Transfers outside the European Union. Your administrator can remove this provider from the list offered to your users.
  • Linkup (France) : web search. When you enable the option in the chat, your request is passed on to that engine, which brings back the relevant pages the model then cites in its answer. It receives only that request, never the documents in your workspace.
  • Business email service : receiving and following up the requests you send to sales@vernelys.com, recrutement@vernelys.com and contact@vernelys.com.

None of these providers uses your content to train its models. We call them through their business interface, whose terms rule out such reuse, and they act only on the content you explicitly submit to them.

The up-to-date list of our processors, naming each one, the activity entrusted to it and the country where it is established, is provided on request from contact@vernelys.com. Data may also be disclosed to the competent administrative or judicial authorities where the law requires it.

Transfers outside the European Union

The platform and the Office add-ins

The data you entrust to us as part of our solutions is hosted and stored in France, with OVHcloud, Google Cloud Platform and Microsoft Azure, on French regions. Text recognition, transcription and artificial intelligence processing is carried out in European regions, with one exception, set out below.

We contract with the European entities of our infrastructure providers, and the options confining data within the European Union, as well as those controlling administration and support access, are enabled. An access request from a foreign authority would only be honoured under the conditions provided for by the applicable law, and we undertake to inform you whenever the law allows us to.

The xAI (Grok) provider

xAI offers no European region: the requests sent to Grok are processed in the United States. It is the only one of our artificial intelligence processing operations in that situation, and it only takes place if you select this provider in the chat. Only the request and the documents you attach to it are passed on; the rest of your workspace does not leave France.

This transfer is governed by the appropriate safeguards of Chapter V of the GDPR: the European Commission's standard contractual clauses, supplemented by additional technical measures (encryption in transit, minimisation of the data transmitted). Your administrator can remove this provider from the list offered, in which case none of your content is processed outside the European Union any more.

This website

The website is hosted by Vercel Inc., a company established in the United States. The technical logs generated by your browsing and, if you have accepted it, the audience measurement statistics may therefore be transferred outside the European Union. No other data takes that route: the requests sent from the questionnaires are delivered by a provider established in France.

This transfer is governed by the appropriate safeguards of Chapter V of the GDPR: the provider's certification under the EU-U.S. Data Privacy Framework, recognised as adequate by the European Commission's decision of 10 July 2023, or, failing that, standard contractual clauses supplemented where necessary by additional technical measures (encryption in transit and at rest, minimisation of the data transmitted).

A copy of the safeguards in place can be provided to you on request from contact@vernelys.com.

Retention periods

Your data is kept for as long as is strictly necessary for the purposes for which it is processed:

  • Demonstration and audit requests : three years from your last contact with us, in line with the CNIL's recommendation.
  • Job applications : two years from the last exchange, unless you ask us to delete them.
  • Account and licence data : for the whole duration of the contractual relationship, then archived in an intermediate database for the duration of the applicable limitation periods: five years in commercial matters, ten years for accounting records.
  • Support requests : up to three years after the last contact.
  • Content placed in the platform : for as long as your company keeps it there. It is deleted at the end of the contract, under the conditions and within the time limits set out in it.
  • Content submitted for one-off processing : extracting a PDF, querying a model, transcribing a recording: for as long as is strictly necessary for the requested processing, with no retention beyond that by the provider.
  • Technical and connection logs : from a few days to twelve months at most.
  • Audience measurement statistics : for the period provided for by our hosting plan, and never beyond twelve months. These statistics are aggregated and relate to no identified person.
  • Audience measurement consent cookie : six months, in line with the CNIL's recommendation. After that period the question is put to you again, whether you accepted or refused.
  • Rate-limiting IP addresses : a few minutes, in the server's memory, never written to disk.
  • Questionnaire agreement checkbox : it is attached to the email that delivers your request to us, and so follows the fate of that email: three years for a demonstration or audit request, two years for a job application.
  • Consent to audience measurement : for as long as your choice stands, then three years after its withdrawal, as evidence.

Your rights

Under Articles 15 to 22 of the GDPR and the French “Informatique et Libertés” Act, you have the following rights over your personal data:

  • Access : obtaining confirmation that your data is being processed and receiving a copy of it.
  • Rectification : having inaccurate or incomplete data corrected.
  • Erasure : asking for your data to be deleted, within the limits of our legal retention obligations.
  • Restriction and objection : having processing frozen, or objecting to it, in particular to any processing based on our legitimate interest and, without any condition, to direct marketing.
  • Portability : receiving the data you provided to us in a structured, commonly used and machine-readable format.
  • Withdrawal of consent : at any time, without affecting the lawfulness of processing carried out before that withdrawal. For audience measurement, the “Audience measurement” control in the footer, present on every page of the site, reopens the choice and replaces it in one click.
  • Post-mortem directives : setting out what should happen to your data after your death, as provided for by French law.

To exercise these rights, write to us at contact@vernelys.com. We reply within one month of receiving your request, a period that may be extended by two months for complex requests. Proof of identity may be requested in the event of reasonable doubt.

If you use Vernelys through your employer or through a client company, contact them first: they are the controller of the content placed in the platform, and we assist them in meeting your request.

If, after contacting us, you believe your rights are not being respected, you may lodge a complaint with the CNIL, 3 place de Fontenoy, TSA 80715, 75334 Paris Cedex 07, www.cnil.fr, or with the supervisory authority of the Member State where you live or work (Art. 77 of the GDPR).

Cookies and trackers

On this website

This site sets no advertising cookie and embeds no third-party tracker. No advertising pixel, no social network button, no external analytics tool. Fonts are self-hosted and media is served from our own domain: no request is made to any third-party service while you browse.

An audience measurement is offered, however, and it only starts with your agreement. It is provided by our host, Vercel, and works from our own domain name: the counter is served by vernelys.com and reports back to it. It tells us which pages are read, which site or search engine you came from, your country and your device type, as well as whether a questionnaire was completed.

This mechanism writes nothing in your browser. It sets no measurement cookie and keeps no lasting identifier: from one page to the next, you are recognised by a fingerprint computed on the server from your IP address and your browser, renewed every day. There is therefore no cross-site tracking, no advertising profile and no individual browsing log: all we look at are counters.

Article 82 of the French “Informatique et Libertés” Act covers reading and writing information in your device; since neither takes place here, that provision does not apply and the banner is not shown to you because we have to. We ask you the question anyway, because the processing does exist under the GDPR and because a publisher that defends control over data does not count its visitors without telling them. Refusing takes the same single click as accepting, and refusal is genuinely applied: the counter is then not loaded at all.

The only cookie on this site is the one that remembers your answer. Set by our domain, it contains nothing but the value “yes” or “no”, lives for six months, and is read only to avoid asking you the question again on every page. Such a cookie is exempt from consent, since it is strictly necessary to record your choice.

One other kind of writing takes place in your browser, without any cookie: the demonstration mock-ups embedded in our pages keep the state of what you do in them there, as any interface would: the screen you opened, a panel you closed, a colour you picked. These values are strictly necessary for the demonstration you are viewing to work, they stay on your device, carry no identifier and never reach us. They are exempt from consent on the same ground, and disappear when you clear the site data.

In the platform

The platform, available at beta.vernelys.com, is not a showcase website: it uses the cookies strictly necessary for your authentication and to keep your session open. These cookies are exempt from consent under Article 82, and serve no advertising or third-party audience measurement purpose.

You can configure your browser at any time to block or delete the cookies set by the sites you visit.

Automated decisions and profiling

We carry out no automated decision-making producing legal effects concerning you or similarly significantly affecting you, within the meaning of Article 22 of the GDPR, and no profiling for advertising purposes.

The artificial intelligence features of our solutions assist the user in their work: they rely on probabilistic models, remain under the user's control, and their output must be reviewed by a human before being used or shared.

Security and data breaches

VERNALYS SOLUTIONS implements appropriate technical and organisational measures to protect your data against unauthorised access, loss and alteration:

  • encryption of exchanges over HTTPS/TLS, enforced by HSTS, and encryption of data at rest;
  • a strict content security policy (CSP) and hardened security headers across the whole site;
  • control and limitation of access following the principle of least privilege, and logging of technical access;
  • separation of spaces by company and by file within the platform;
  • digitally signed installers for the Office add-ins, whose authenticity can be verified before installation;
  • rate limiting on forms and keeping software components up to date.

In the event of a personal data breach likely to result in a risk to your rights and freedoms, we notify the CNIL within 72 hours in accordance with Article 33 of the GDPR and, where the risk is high, the individuals concerned as soon as possible (Article 34). Where we act as a processor, we alert the controlling company without delay.

Changes to this policy

This policy may be updated to reflect changes to the site, to our solutions or to the applicable regulations. The date of the last update appears at the top of this page; we invite you to consult it regularly. Any substantial change affecting our customers is notified to them under the terms set out in the contract.
